- THE BASIS OF AGREEMENT BETWEEN FEEDWORK AND THE CUSTOMER
- These terms and conditions apply to all purchases from and deliveries from Feedwork.
- The Terms and Conditions and Feedwork's submitted offer document constitute the entire contractual basis between the customer and Feedwork, unless otherwise agreed in writing. In the event of inconsistency between the terms of trade and the offer document, the offer document shall take precedence.
- If Feedwork has agreed in writing to the customer's supplier terms or other written contract documents and there is a discrepancy between the contract documents, the following order of the contract documents shall apply:
- Feedworks Offer Document
- Customer Supplier Terms
- Feedworks Terms and Conditions
- Other written agreement documents
- Feedwork reserves the right to change the terms of trade at any time and without notice. If Feedwork changes its Terms and Conditions, the Terms and Conditions shall apply at the time of Customer's receipt of the Feedwork Offer Document.
- Feedwork provides coaching, lectures, courses, training, teaching, training courses, workshops, and other advice in the areas of feedback, management, communication and satisfaction analyses (the “Courses”).
2.1.1 The details of the courses, duration and other matters, such as theme, course, format and scope, shall be agreed between the customer and Feedwork and specified in the Feedwork offer document, which is accepted in writing by the customer before starting a Course.
- Feedwork provides and advises on digital survey tools related to feedbacks, satisfaction analyses and market research (“Survey Tools”).
2.2.1 The detailed content, duration and other aspects of the survey tools, such as theme, course, format and scope, shall be agreed between the customer and Feedwork and specified in the Feedwork offer document, which is accepted in writing by the customer before work begins.
- Feedwork provides and advises on digital training tools related to feedbacks, satisfaction analyses and market research (“Training Tools”).
2.3.1 The detailed content, duration and other aspects of the training tools, such as theme, course, format and scope, shall be agreed between the customer and Feedwork and specified in the Feed-works offer document, which is accepted in writing by the customer before the work begins.
- PLACE OF PROVISION OF FEEDWORKS SERVICES;
- Unless otherwise agreed in writing, the Courses will be held at the customer's address.
- Unless otherwise agreed in writing, the Survey Tools and Training Tools are delivered to the customer's address.
- PRICES, COSTS AND TERMS OF PAYMENT
- Offers from Feedwork are made subject to typographical errors and are effective for 30 days from the offer date, unless otherwise stated in Feedwork's offer document.
- The price for Feedworks' services (the “Remuneration”) is in Danish kroner and includes course materials and excluding VAT, catering, room costs, travel, accommodation and other costs related to the provision of Feedworks services, unless otherwise stated in the Feedworks offer document.
- The remuneration is invoiced after Feedworks has delivered the agreed service, for example after the treatment has been completed. Payment terms are 8 days net from invoice date.
- In case of late payment, the provisions of the Interest Act apply.
- CANCELLATION AND RELOCATION OF THE COURSE
- Client's cancellation and course relocation
- The customer may notify, free of charge, with a written notice of at least 5 working days before the start day of the course, a change in the time of the course. The customer's right to move the course to a new time cannot be used to avoid payment of the cancellation fee in accordance with clause 5.1.3. The new time for the course will be agreed between the customer and Feedwork.
- The customer may cancel the course free of charge with a written notice of at least 14 working days before the start day of the course.
- The customer may, with a written notice of between 13 and 5 working days before the start day of the course, cancel the course upon payment of a cancellation fee of 40% of the agreed fee for the course.
- In case of cancellation of the course later than 5 business days before the start day of the course, the customer must pay the full fee for the course.
- In the case of course agreements that are held over several course days either in conjunction or at intervals of days, paragraphs 5.1.1 to 5.1.4 shall apply to each individual course day of the course.
- Feedworks cancellation and course relocation
- Feedwork may cancel the course without charge, without liability and without the obligation to pay compensation with a written notice of at least 30 days prior to the start day of the course.
- Feedwork can, in case of force majeure, change the day of the course. Feedwork shall inform the customer immediately after the occurrence of the force majeure relationship of the change of course and state the reason for this.
- Force majeure means circumstances beyond Feedwork's control, including but not limited to illness, regional or national negative media coverage (e.g. shit-storm) about the customer or Feedwork, strikes and lockouts, public injunctions, missing or defective deliveries by subcontractors, etc.
- Feedwork is not liable for any expenses incurred by the customer in connection with changing the day of the course.
- The customer and Feedwork determine the new time for the course.
- In the case of course agreements that are held over several course days either in conjunction or at intervals of days, paragraphs 5.2.1 to 5.2.5 shall apply to each individual course day of the course.
- Feedwork has ownership and all intellectual property rights in materials, solutions and other written documentation that Feedwork has prepared for the use of its services, including course materials (the “Material”).
- Upon full payment of the Fee, the customer obtains the right to use the Material. Only- its right of use is limited to internal use in the customer's organization. The Customer is not entitled to resell, redistribute or pass on all or part of the Company outside the Customer's organization.
- Feedwork recognizes the customer's proprietary and intellectual property rights, including but not limited to the customer's name, trademark, logo and business sign. Except as stated in clause 7.3, Feedwork is not entitled to use the Customer's intellectual property rights without the Customer's prior written consent.
- CONFIDENTIALITY AND REFERENCES
- Feedwork and Feedworks staff observe unconditional silence with respect to all information relating to the customer's relationship and information that Feedwork receives in connection with deliveries to the customer.
- Feedwork may use subcontractors in connection with its deliveries to the customer, such as but not limited to third-party software to process and analyze data and information about the customer. Feedwork ensures that the subcontractor is subject to a duty of confidentiality and only receives the customer's information when it is necessary for delivery to the customer.
- Unless otherwise agreed in writing, Feedwork is entitled to use the customer and the customer's logo as a reference when this is done without obligation to the customer.
- PROCESSING OF PERSONAL DATA
- In connection with Feedworks' provision of its services, it may be necessary to collect, store and process personal data relating to the customer or the customer's personnel. In this case, Feedwork's privacy policy applies, which can be found at www.feedwork.dk.
- If the collection, storage and/or processing of personal data relating to the customer or the customer's personnel is necessary for Feedwork's delivery to the customer, and in cases where the customer is the data controller, the customer must ensure that the customer's personnel are aware of and agree to this collection, storage and processing of personal data in accordance with applicable law.
- CHOICE OF LAW AND JURISDICTION
- Any dispute concerning the customer's purchase of and Feedworks' provision of Feedworks services, including the scope and validity of these Terms and Conditions, is governed by Danish law and must be brought before the Copenhagen City Court.
